Because North Star Gaming Holdings Inc. failed to submit the required executive certifications, the associated discussion and analysis, and audited 2025 annual financial statements, the Ontario Securities Commission (OSC) has issued an FFCTO against the company. Trading Suspended

In Canada, the regulatory hammer stops all trading of North Star's securities. The independent auditor told the company that it was taking back its audit report, the company said. The annual gathering of the company, which was set for May 25, 2026, has also been postponed.

The auditor retracted its report on the prior year's figures, stating it could not rely on checks pertaining to a major supplier's software for managing player accounts.

The OSC was not convinced that everything would be rectified quickly enough, therefore it denied North Star's request for a less severe management cease trade order even though the business objected and is collaborating with the seller to maintain data integrity. Still accepting wagers is the platform.

North Star Bets, the company's online casino and sports betting website, was introduced in May 2022 after North Star Gaming Holdings Inc. obtained its Ontario iGaming license in April 2022. The OSC ruling has no bearing on wagers placed on North Star Bets, even though the shares are currently frozen on the TSX Venture Exchange. The main betting platform is still functioning as usual. The firm can apply to have the OSC order removed once the vendor audit problem is fixed, and then submit the audited statements.

The company announced management changes in December of last year: Michael Moskowitz, who served as Chief Executive Officer when the firm received its license, resigned and was succeeded by Corey Goodman as Interim CEO.

Shifts in Leadership

The firm released a statement this March outlining its strategic objectives, which include effective capital allocation, disciplined execution, and improving the company's profitability profile.

It focused on things like improving the player experience in order to put customer retention first and boosting advertising effectiveness via more return-driven media deployment.

"We are focused on taking deliberate, measured steps to position the Company for profitability,” said Goodman. “The expected annualized G&A savings reflect measures that have largely been implemented. Building on these reductions, management is actively deploying additional efficiency and operating leverage initiatives across services, marketing spend, and cost of goods sold that are expected to materially enhance the Company’s EBITDA profile.

“In parallel, targeted investments in the product experience are being made to improve retention and increase the stability and predictability of revenue over time,” the statement concluded.
